Gpay: Refers to the mobile and web application designed to enable manufacturers of fast-moving consumer goods to implement loyalty programs. Users can take advantage of loyalty programs, purchase , and transfer them to fellow application users. Developed and provided by Gpay, the application is available for free download on Google Play Store and the web. Gpay encompasses content, software, programs, databases, operating systems, and all other elements and services that compose it, along with any updates and new versions introduced by Gpay. Content: Encompasses, in a non-exhaustive manner, acronyms, images, the application's structure, illustrations, trade names, audiovisual works, multimedia works, visual content, audio content, and any other content within the Gpay application.
API: Stands for the computer protocol enabling users to make deposits or withdrawals in the partner cash network through the application.
Gpay Account: The account opened with Gpay via the Gpay application. User: Any person who has accepted the terms and conditions.
Operations: Denotes the various transactions and services offered by the Gpay application.
Article 2. Intellectual Property of Gpay
Gpay exclusively owns all intellectual property rights related to Gpay and its Content. Without prejudicing the provisions of Article 2, none of the stipulations of the Terms and Conditions can be construed as an assignment, transfer, sale, concession, license, loan, lease, or authorization to operate granted directly or indirectly by Gpay to the User on Gpay, its Content, and/or the Operations.
Article 3. License of Use
Gpay grants the User a personal, non-exclusive, revocable, non-transferable, and free right to use Gpay, Content, and Operations solely for their own needs within the framework of using Gpay, excluding any other purpose. Accessing and/or using the source codes of Gpay and/or its software components is strictly prohibited. The User acquires no intellectual property rights over Gpay, Content, and/or Operations, nor any other rights granted by these Terms and Conditions. This license confers no right for the User to use the Content, and they undertake not to reproduce, represent, adapt, and/or exploit the Content outside the cases provided for in these Terms and Conditions.
Article 4. Access to Gpay
To subscribe to Gpay, the user must have , a mobile phone number, and internet access. For the opening of a Gpay Account: Enter the phone number Choose an "Access Code" or "Password" Accept the Terms and Conditions Following account activation, the user can conduct transactions online. To have the necessary balance, the user can deposit money on the "BMCE BANK" or receive funds from another user. Transactions are possible only with the required balance.
Article 5. Financial Conditions
The Gpay mobile application is provided to users free of charge. Users have the opportunity to receive cashbacks when using this application. The conditions for granting these cashbacks may vary depending on the user's access level. The nature of these cashbacks may also differ based on the user's access level and the decisions of Gpay. For an average user, cashbacks are received after purchasing one or more products from a grocer who uses the Gpay application. For grocers, cashbacks are sent after selling several products that are part of the loyalty program to various customers. For sales representatives of partners in the retail industry, cashbacks are sent after the grocer sells the products to end consumers, which were initially sold to the grocer by a sales representative. These conditions, as well as the amounts and nature of cashbacks, are at the discretion of Gpay and may evolve over time.
Article 6. Obligations of Gpay

Any fraudulent use of the application, especially in the case of false purchases with the intention of claiming discounts, will result in the termination of the user license agreement.
Article 7. User's Obligations
The User agrees to use the application in a non-fraudulent manner and undertakes not to carry out fictitious transactions with the aim of claiming discounts. In the event that a user engages in fraudulent transactions, Gpay reserves the right to block their Gpay user account. The User must keep the same phone number used during the opening of their user account; any change in phone number must be notified to Gpay.
Article 8. Security
It is the responsibility of the Account Holder to adequately protect their mobile device, safeguard their data, and take reasonable and appropriate precautions to detect viruses, spam, and other destructive elements. Gpay cannot be held responsible for any losses that the Account Holder may incur due to any of the events mentioned above. All operations performed by the Account Holder via the Gpay application, authenticated through the Firebase authentication process, are considered to be carried out by the Account Holder. The Account Holder expressly accepts this and commits not to dispute it. Gpay's liability cannot be sought in case of: Fraudulent or abusive use. Indirect damages resulting from the use of the Gpay application. Temporary or total unavailability of all or part of the access to the Gpay application in case of force majeure or any performance failure. The Account Holder is responsible for the damages and costs resulting from their use of the application, in case of incorrect information provided by them or non-compliance with these provisions, as well as any infringement of intellectual property rights, and more generally, the rights of third parties. They must also take all necessary precautions to preserve the confidentiality of access to their mobile phone. The joint use of the identifier (phone number) and the SMS containing a one-time-use code serves as proof of the customer's identity. As soon as the Account Holder notices the loss or theft of their phone or suspects fraudulent use of their Gpay Account, the Account Holder must immediately report it to Gpay.
Article 9. Protection of Personal Data
The purpose of processing and recording the information collected by Gpay, as the data controller, via Gpay is to carry out the operations defined in Article 1 of these Terms and Conditions. The Account Holder gives consent to Gpay to process their collected personal data and undertakes to communicate only accurate and relevant information.
They will inform Gpay of any changes to this information, including their mobile phone number. The Account Holder accepts that personal data concerning them may be communicated and shared for the same purposes with its partners, subcontractors, and service providers to the extent necessary to perform the tasks entrusted to them. Therefore, they will not be made available to third parties.
These personal data may be communicated to official bodies and administrative or judicial authorities if they make such a request. These personal data may be communicated to the professionals to whom Gpay is obligated.
In case the account holder wishes to permanently stop using Gpay, they must inform the company by sending an email to [email protected]. Upon receipt of this email, Gpay undertakes to delete the user's data within 60 days. Otherwise, the user's information will be kept in accordance with applicable regulations for future use by the account holder.
Gpay is in the process of obtaining authorization to collect personal data from the National Commission for the Control of Personal Data Protection. Upon obtaining them, these Terms and Conditions will be updated and will include the registration number of the National Commission for the Control of Personal Data Protection. Through this form, Gpay collects your personal data to identify you during the operation of the application and possibly prevent potential cases of fraud.
This processing has been the subject of a declaration/authorization request to the CNDP under the number (we are in the process of obtaining the authorization number). The applicable Terms and Conditions (CGU) are those in force on the date of the account holder's connection and use of Gpay. Gpay reserves the right to modify, at any time, all or part of the provisions of the CGU to adapt them to changes in operations, technical developments, legal or jurisprudential developments, or when implementing new operations. Any modifications made by Gpay to the CGU will be brought to the attention of the account holders either through a pop-up when opening the application or via email, subject to acceptance by the account holder. Article 11. Application Availability
GPAY commits to securing access, consultation, and usage of transactions made through the GPAY application. Article 13. Applicable Law and Dispute
Resolution These general terms of use are subject, for their interpretation and execution, to Moroccan law. In the event of a dispute between GPAY and a user of the GPAY application, the user agrees to contact GPAY to seek an amicable solution. Any dispute or disagreement related to the execution or interpretation of these terms and conditions that could not be resolved amicably between the parties within a period of thirty (30) days from its occurrence will be submitted to the competent courts.
